PLEASE READ THESE TERMS CAREFULLY. SECTION 20 CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. Agreement to Terms. These Terms & Conditions (Terms) form a binding agreement between you (you or Purchaser) and Atlas Zion LLC, which operates the Melissa Landry brand (Company, we, us, or our), governing your access to and use of our websites (the Site) and our products, content, and services, whether free or paid. Products means all products, content, and services we make available, whether free or paid, including courses, memberships, templates, scripts, downloads, coaching, community access, AI chatbots, custom GPTs, and other AI-enabled tools, free workshops, free trainings, masterclasses, eBooks, and other free or paid materials. By accessing the Site, requesting or accessing any free Product, purchasing any paid Product, or checking the I agree box at checkout, you agree to these Terms. If you do not agree, do not use the Site or the Products.
2. Eligibility. You must be at least 18 years old and have the legal capacity and authority to enter into these Terms. By accessing or purchasing, you represent that you meet these requirements and that all information you provide is accurate.
3. Your Account. If access to a Product requires an account or login, you are responsible for keeping your credentials confidential and for all activity under your account. Account access is personal to you and may not be shared, transferred, or used by anyone else. You agree to notify us promptly of any unauthorized use.
4. The Products; Free and Paid.
(a) Digital, immediate delivery. The Products are digital goods and services delivered electronically and made available to you immediately or shortly after purchase or sign-up. You acknowledge that (i) you are obtaining digital content, (ii) access is granted as soon as your payment is processed or your request is submitted, and (iii) you receive the full benefit of the Product upon access.
(b) Free Products. Free Products (including free workshops, trainings, masterclasses, eBooks, downloads, and similar materials) are provided at no charge for informational and educational purposes only. No resale, reproduction, or redistribution rights are granted. All provisions of these Terms apply to free Products, except that Sections 8 through 12 (pricing, payment, payment plans, refunds, chargebacks, and scheduling) apply only to paid Products and only to the extent you have made a purchase.
5. License and Ownership.
(a) Ownership. All Products and their contents, including all course materials, videos, methodologies, strategies, frameworks, templates, scripts, examples, marketing assets, text, graphics, and other materials (collectively, the Course IP), are the sole and exclusive property of the Company. The Course IP consists of original works of authorship protected by United States and international copyright law and includes confidential information and trade secrets of the Company. No ownership rights transfer to you.
(b) Limited License. Subject to these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Course IP solely for your own personal and internal business use. All rights not expressly granted are reserved.
(c) No Challenge. You agree not to contest or challenge, or assist any third party in contesting or challenging, the Company's ownership of or rights in the Course IP.
6. Prohibited Uses. You shall not, directly or indirectly:
(a) copy, reproduce, republish, distribute, display, sell, resell, license, sublicense, rent, share, or transfer any Course IP;
(b) modify, adapt, translate, or create derivative works from any Course IP;
(c) use any Course IP to create, market, or offer any course, program, workshop, coaching, template, product, or service that competes with, replicates, or is substantially similar to any Product;
(d) teach, train, coach, or disseminate the methods, techniques, or strategies contained in the Course IP to any third party for compensation or commercial benefit;
(e) copy or imitate the Company's marketing content, sales copy, taglines, hooks, or distinctive language; or
(f) Artificial Intelligence Restriction. upload, input, submit, feed, or otherwise provide any Course IP, in whole or in part, to any generative artificial intelligence, machine-learning, large-language-model, or other automated system (including tools such as ChatGPT, Claude, Gemini, Grok, or any successor or similar tool) for the purpose of summarizing, reproducing, adapting, translating, creating derivative works from, training on, or generating any content that competes with or is substantially similar to any Product or Course IP.
You agree that these restrictions are reasonable and necessary to protect the Company's legitimate business interests, including its intellectual property, confidential information, and goodwill. This Section survives termination.
7. Intellectual Property Enforcement and Remedies. You acknowledge that any breach of Section 5 or 6 would cause the Company irreparable harm for which monetary damages alone would be inadequate. In addition to any other remedies available at law or in equity, and cumulatively, the Company is entitled to:
(a) injunctive and other equitable relief, without the requirement of posting a bond;
(b) its actual damages;
(c) disgorgement of all profits, revenue, and gains you (or any entity you control or are affiliated with) derived from the unauthorized use of the Course IP;
(d) statutory damages, actual damages, and any other remedies available under applicable copyright, trademark, and trade-secret law; and
(e) its reasonable attorneys' fees and costs.
Upon our reasonable request in connection with a suspected violation, you agree to cooperate with a reasonable investigation, which may include providing relevant records of your use of the Course IP. We reserve the right to monitor, investigate, and take legal action against any suspected violation without prior notice.
8. Pricing and Payment. You agree to pay all amounts due for the paid Products you purchase and to provide a valid, authorized payment method. You represent that you are authorized to use the payment method you provide. Prices may change at any time; we do not provide price protection or refunds for later price reductions or promotions.
9. Payment Plans and Failed Payments. If you purchase a Product on an installment or payment-plan basis:
(a) you authorize the Company and its payment processors to charge your payment method automatically for each scheduled installment, and to retry a declined or failed charge;
(b) you remain responsible for the full purchase price regardless of your use of the Product;
(c) if any installment is not paid when due, the Company may, in its discretion, suspend or revoke your access to the Product until payment is made and/or declare the entire remaining balance immediately due and payable; and
(d) you agree to reimburse the Company for any costs of collection, including reasonable attorneys' fees, incurred to collect past-due amounts.
10. All Sales Are Final; No Refunds. Because the paid Products are digital and delivered immediately, all sales are final and non-refundable, and you waive any right to cancel or obtain a refund, to the fullest extent permitted by law. If you experience any issue with a Product, you agree to contact us first at mrsmelissalandry@gmail.com so we can make it right.
11. Chargebacks and Payment Disputes.
(a) Contact us first. If you have any concern about a charge, you agree to contact us at mrsmelissalandry@gmail.com and give us a reasonable opportunity (at least ten business days) to resolve it before initiating any chargeback, payment dispute, or reversal with your bank, card issuer, or payment provider.
(b) Chargebacks are a breach. You acknowledge that you receive and access the digital Products immediately upon purchase. Initiating a chargeback or payment dispute after receiving access, without first contacting us and without a legitimate basis (for example, actual unauthorized use of your card), is a material breach of these Terms and a breach of your representation that you authorized the charge.
(c) Consequences. Upon any chargeback or payment dispute, we may immediately suspend or terminate your access to all Products and revoke your license. You remain obligated to pay the full purchase price.
(d) Recovery. If you initiate a chargeback or payment dispute in breach of this Section, you agree to reimburse the Company for (i) the disputed amount, (ii) any chargeback, reversal, or processing fees the Company incurs, (iii) the Company's costs of collection, and (iv) the Company's reasonable attorneys' fees. The parties agree that the fees in (ii) and (iii) are a reasonable estimate of the administrative costs the Company incurs to respond to an improper chargeback and are not a penalty.
(e) No waiver of statutory rights. This Section defines the parties' rights and obligations between each other and does not purport to waive any right you may have under applicable law to dispute a charge with your card issuer.
12. Coaching Calls and Scheduling. (a) Call entitlement and redemption terms. If your purchase includes one or more calls with the Company, the number of calls, their length, and any redemption or expiration period are as described on the applicable sales page or checkout at the time of your purchase (the Call Terms). The Call Terms are incorporated into these Terms. Calls are personal to you, are non-transferable, and may not be resold, shared, or applied to any other person or purchase.
(b) Default redemption period. If the Call Terms do not specify a redemption or expiration period, you must schedule and complete all included calls within ninety (90) days after the date of purchase. Any call not scheduled and completed within the applicable redemption period (whether the period stated in the Call Terms or this default period) is forfeited, expires, and has no cash or credit value, with no refund.
(c) Scheduling. You are responsible for scheduling your calls within the applicable redemption period using the method we provide. We are not obligated to offer availability, extensions, or make-up calls beyond the redemption period.
(d) Cancellation and rescheduling. All bookings are non-refundable. To cancel or reschedule, email mrsmelissalandry@gmail.com with the subject CALL CANCELLATION – [date & time of your call] no less than 48 hours before your scheduled call. Any rescheduled call must still occur within the applicable redemption period, and the redemption period is not extended by a cancellation or reschedule. We may limit the number of times a call may be rescheduled.
(e) No-shows and late changes. If you do not attend a scheduled call, or you cancel or attempt to reschedule less than 48 hours before the call, you forfeit that call with no refund and no make-up call.
13. Community Access and Acceptable Use.
(a) Access. Certain Products, whether free or paid, include access to a community or group, which may be hosted on a third-party platform such as Facebook Groups or Stan Store Groups (a Community). Access to a Community is a benefit of the applicable Product, is personal to you, may not be shared or transferred, and continues only while you remain eligible and in good standing. We may condition, suspend, or revoke Community access at any time, including upon any refund, chargeback, payment dispute, non-payment, or violation of these Terms, without refund.
(b) Third-party platforms. A Community hosted on a third-party platform is also subject to that platform's terms and privacy policy. You are responsible for maintaining an account in good standing on the platform and for complying with its rules. We do not own, operate, or control third-party platforms and are not responsible for their availability, functionality, content moderation, data practices, or any suspension or termination of your platform account. We may relocate, restructure, or discontinue a Community, or move it to a different platform, at any time.
(c) No confidentiality or expectation of privacy among members. Content you post in a Community is visible to other members and to the platform, and we cannot control, monitor, or prevent other members from viewing, copying, screenshotting, recording, saving, or re-sharing it. You should have no expectation of privacy or confidentiality in anything you post, and you post at your own risk. Do not post any information you are not comfortable sharing publicly, and do not post sensitive personal, financial, health, or confidential information.
(d) Your obligations. As a condition of Community access, you agree that you will not: (i) disclose, reproduce, distribute, or use outside the Community any Course IP or any non-public materials, strategies, templates, or content shared within the Community; (ii) identify, quote, screenshot, or repost another member's personal information or contributions outside the Community without that member's consent; (iii) harass, threaten, defame, spam, or abuse any member or the Company; (iv) solicit, advertise, recruit, or promote competing or unrelated products or services; (v) post unlawful, infringing, harmful, or objectionable content; or (vi) use the Community to develop, market, or support any product or service that competes with or is substantially similar to any Product.
(e) License to your contributions. You retain ownership of content you post, but you grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and moderate your Community contributions in connection with operating and promoting the Community and the Products, consistent with our Privacy Policy.
(f) Moderation and removal. We may, but are not obligated to, monitor, moderate, edit, or remove content, and may remove any member or content and suspend or terminate Community access at any time, in our discretion, without refund.
(g) Assumption of risk; no liability for member conduct. Interactions with other members are solely between you and those members. The Company is not responsible or liable for the conduct, statements, content, advice, or actions of any member, or for any loss or harm arising from your participation in a Community or from any platform outage, suspension, data loss, or termination. You participate at your own risk.
(h) Survival. The confidentiality, use-restriction, and license obligations in this Section survive termination of your Community access.
14. Artificial Intelligence Tools and Features.
(a) Scope. Certain Products may include, or consist of, an artificial-intelligence chatbot, custom GPT, assistant, or other automated or machine-learning-enabled tool that we make available or license to you (each, an AI Tool). Your use of an AI Tool is subject to these Terms, including Sections 5 through 7, 17, and 18, and to any additional terms presented with the AI Tool.
(b) Nature of outputs; no reliance. An AI Tool generates responses automatically and may produce information that is inaccurate, incomplete, outdated, biased, or otherwise unreliable, and may generate similar or identical outputs for different users. Outputs are provided for general informational and educational purposes only, are not professional (business, financial, investment, tax, legal, or other) advice, and are not a substitute for your own judgment or a qualified professional. You are responsible for reviewing, verifying, and independently evaluating any output before relying on or acting on it, and you use AI Tools and their outputs at your own risk.
(c) Your inputs. You are responsible for the prompts, content, and information you submit to an AI Tool (Inputs). You represent that you have the right to submit your Inputs and that they do not violate any law or third-party right. Do not submit sensitive, confidential, or regulated information, or the personal information of others, through an AI Tool. You grant the Company a non-exclusive, worldwide, royalty-free license to host, process, and use your Inputs and the resulting outputs to operate, secure, support, and improve the AI Tool and the Products, subject to our Privacy Policy and applicable law.
(d) Ownership and outputs. The AI Tool, and all underlying models, software, configurations, system prompts, instructions, datasets, and design, are the Company's or its licensors' property and constitute Course IP. As between you and the Company, and subject to third-party provider rights, the Company assigns to you its rights, if any, in the specific output generated for you in response to your Inputs, solely for your own personal or internal business use. You acknowledge that outputs may not be eligible for intellectual-property protection, may not be unique to you, and may resemble outputs provided to others.
(e) Prohibited uses. In addition to Section 6, you shall not: (i) reverse engineer, decompile, scrape, extract, or attempt to discover the AI Tool's models, weights, system prompts, or underlying instructions; (ii) use the AI Tool, its outputs, or your Inputs to train, develop, or improve any competing model, chatbot, product, or service, or any product or service that is substantially similar to any Product; (iii) resell, sublicense, rent, or provide access to the AI Tool to any third party; (iv) circumvent usage, rate, or access limits; (v) use the AI Tool to generate unlawful, infringing, harmful, deceptive, or abusive content; or (vi) input any Course IP in violation of Section 6(f).
(f) Third-party providers. An AI Tool may be powered by or integrated with third-party providers (for example, OpenAI or similar model providers). Your use may be subject to those providers' terms and usage policies, and you agree to comply with them. The Company does not control and is not responsible for third-party models, their outputs, availability, or changes, and may modify, suspend, or discontinue any AI Tool or provider at any time.
(g) Disclaimer and liability. AI Tools and their outputs are provided as is and as available without warranties of any kind, including any warranty of accuracy, reliability, fitness for a particular purpose, or non-infringement. The disclaimers and limitation of liability in Section 18 apply fully to AI Tools and their outputs. This Section survives termination.
15. User Submissions. Any comments, suggestions, or materials you submit to the Company become the Company's property, are not subject to any obligation of confidence, and may be used by the Company for any purpose without compensation or attribution.
16. Testimonials and Reviews. By submitting a testimonial or review, you grant the Company a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, display, and distribute it, including your name and likeness if provided, for marketing purposes. We may edit for clarity, length, or formatting without changing its substance. Results described are individual and are not typical or guaranteed.
17. Educational Purpose; No Professional Advice; No Guarantee of Results.
(a) Educational purpose only. The Products are educational and informational in nature. They teach general strategies, methods, and information about building and marketing online digital-product businesses and social-media content. They are not a business, financial, investment, tax, legal, accounting, or other professional service, and they do not create any professional, advisory, or fiduciary relationship between you and the Company.
(b) No professional advice. Nothing in the Products constitutes business, financial, investment, tax, legal, or accounting advice, and you should not rely on the Products as a substitute for advice from a qualified professional. You are solely responsible for your own business decisions, for evaluating the suitability of any strategy for your circumstances, and for your own compliance with all applicable laws, platform rules, and tax obligations.
(c) No guarantee of results or income. The Company does not guarantee any particular income, revenue, sales, growth, or other result. Any earnings figures, sales results, or examples described in the Products or in any marketing, testimonial, or case study are illustrative only, are not typical, and are not a promise or guarantee of your results. Your results depend entirely on your own effort, skill, experience, execution, resources, and market conditions, which vary among individuals. You accept full responsibility for your own results and for evaluating your own earning potential.
18. Assumption of Risk; Disclaimers; Limitation of Liability.
(a) Assumption of risk. You understand that building and operating a business involves risk, including the risk of financial loss, and that any action you take based on the Products is at your own risk. You assume full responsibility for any business, financial, or other decision you make in connection with the Products.
(b) As is disclaimer. THE PRODUCTS AND SITE ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PRODUCTS WILL PRODUCE ANY PARTICULAR RESULT. The Company does not warrant that the Products or Site will be uninterrupted, error-free, or free of harmful components. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
(c) Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOST OPPORTUNITY, ARISING FROM OR RELATED TO THE PRODUCTS OR SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE PRODUCTS OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO THE COMPANY FOR THE PRODUCT GIVING RISE TO THE CLAIM (AND WILL BE ZERO FOR ANY FREE PRODUCT). This Section does not limit liability that cannot be limited under applicable law.
19. Indemnification. You agree to indemnify and hold harmless the Company and its owners, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, (c) your use of the Products or Site, (d) content you submit or share, and (e) your participation in or conduct within any Community.
20. Dispute Resolution; Binding Arbitration; Class-Action Waiver.
(a) Informal Resolution. Before starting arbitration, the parties agree to try to resolve the dispute informally for 30 days after written notice.
(b) Binding Arbitration. Except for the carve-outs in Section 20(e), any dispute, claim, or controversy arising out of or relating to these Terms or the Products will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be seated in Orange County, Florida, and may proceed by videoconference or on documents where the rules permit. Judgment on the award may be entered in any court of competent jurisdiction. This agreement to arbitrate is governed by the Federal Arbitration Act.
(c) Class-Action Waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.
(d) Delegation. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court decides the enforceability of the class-action waiver.
(e) Carve-Outs. Notwithstanding the above, (i) either party may bring an individual claim in small-claims court; (ii) the Company may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its Course IP or other intellectual property; and (iii) the Company may bring an action in the state or federal courts located in Orange County, Florida to collect amounts you owe, including amounts arising from a chargeback or payment dispute filed in breach of Section 11. You consent to the jurisdiction of, and venue in, those courts for these purposes.
(f) Opt-Out. You may opt out of this Section 20 by emailing mrsmelissalandry@gmail.com within 30 days of your first purchase, stating your name and intent to opt out. Opting out does not affect any other provision of these Terms.
21. Term and Termination. The Company may limit, suspend, or terminate your access to the Products or Site, in its discretion, if you violate these Terms. No refund is owed upon termination for breach. Sections 5, 6, 7, 8, 9, 10, 11, 13, 14, and 15 through 32 survive termination.
22. Force Majeure. The Company is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, outages, failures of third-party platforms or payment processors, labor disputes, or government action.
23. Assignment. You may not assign or transfer these Terms or any rights under them without the Company's prior written consent. The Company may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties' permitted successors and assigns.
24. No Waiver. The Company's failure to enforce any provision is not a waiver of its right to do so later. No waiver is effective unless in writing.
25. Third-Party Beneficiaries. These Terms are for the benefit of the Company and its subsidiaries, affiliates, owners, officers, and licensors, each of which may enforce these Terms directly.
26. Prevailing Party; Attorneys' Fees. In any action or proceeding to enforce or arising out of these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs, in addition to any other relief awarded.
27. Electronic Communications and Consent. You consent to receive notices, disclosures, and communications from the Company electronically, including by email, and agree that electronic communications satisfy any legal requirement that such communications be in writing.
28. Governing Law and Venue. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to Section 20, the exclusive venue for any permitted court action is the state and federal courts located in Orange County, Florida.
29. Severability. If any provision is held unlawful or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions will remain in full force. If the class-action waiver in Section 20(c) is held unenforceable as to any claim, that claim will proceed in court and the rest of Section 20 will still apply to all other claims.
30. Changes to These Terms. We may revise these Terms by posting an updated version with a new Last Updated date. Material changes apply prospectively. Your continued use of the Products after changes are posted constitutes acceptance.
31. Entire Agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and the Company regarding the Products and supersede any prior agreements.
32. Notices and Contact. Notices to the Company must be sent to mrsmelissalandry@gmail.com. Notices to you may be sent to the email associated with your purchase or sign-up. Contact: Atlas Zion LLC, mrsmelissalandry@gmail.com.
